1. Acceptance of Terms

By accessing or using Petrolyt ("the Service"), available at https://petrolyt.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Petrolyt, operated by Onyema Chibuikem ("we," "us," or "our").

By creating an account, subscribing to a plan, or using any features of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Petrolyt is a cloud-based petroleum engineering analysis platform that provides:

  • Decline curve analysis (Exponential, Hyperbolic, Harmonic, Modified Hyperbolic, PLE, SEPD, Duong, and LGA models)
  • Estimated Ultimate Recovery (EUR) calculations
  • Production forecasting (up to 20 years)
  • ROI and economics analysis (NPV, IRR, payback period, profitability index)
  • Unit conversion for petroleum engineering quantities
  • CSV data upload and automated model fitting

The Service is designed as a computational tool for petroleum engineers, consultants, students, and other professionals in the oil and gas industry.

3. Account Registration & Security

3.1 Registration. To access the Service, you must create an account by providing accurate and complete information. You must be at least 18 years of age or the age of majority in your jurisdiction.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Accuracy of Information. You agree that all information you provide during registration and use of the Service is accurate, current, and complete. We reserve the right to suspend or terminate accounts with false or misleading information.

3.4 One Account Per Person. Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits is prohibited.

4. Subscription Plans & Billing

4.1 Plans. The Service offers the following tiers:

  • Starter (Free): Limited to 5 calculations per day and 3 wells. No payment required.
  • Field ($39/month or $374.40/year): Unlimited calculations, up to 25 wells, Smart Auto-Fit, interactive scenarios, exports, and API access.
  • Engineer ($69/month or $662.40/year): Everything in Field, plus unlimited wells, Variable-Pressure DCA, type curves, multi-segment fit, and full economics.
  • Team ($149/month or $1,430.40/year): Everything in Engineer, plus batch forecasting, multi-well compare, bulk import, portfolio export, and well sharing (5 seats).

4.2 Payment Processing. All payments are processed securely through Stripe, Inc. We accept credit/debit cards, Apple Pay, Google Pay, Link, Cash App Pay, and bank debits. We do not store your payment card details on our servers.

4.3 Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date. You will be charged the then-current subscription rate at renewal.

4.4 Cancellation. You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, you retain access to paid features until the end of your current billing period. No partial refunds are issued for unused time within a billing period.

4.5 Plan Changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of your current billing period.

4.6 Refund Policy. Due to the digital nature of the Service, refunds are generally not provided once a billing period has begun. However, we may issue refunds at our discretion in cases of technical issues that prevented use of the Service. Refund requests must be made within 7 days of the charge.

4.7 Price Changes. We reserve the right to change subscription prices with at least 30 days' notice. Price changes will take effect at your next renewal date following the notice period.

5. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to reverse engineer, decompile, or disassemble the Service or its algorithms
  • Circumvent or attempt to circumvent usage limits, rate limiting, or access controls
  • Share account credentials or allow unauthorized third parties to access your account
  • Use automated scripts, bots, or scrapers to access the Service without authorization
  • Interfere with or disrupt the Service's infrastructure or other users' access
  • Upload malicious files, viruses, or harmful code through the CSV upload feature
  • Resell, redistribute, or sublicense access to the Service without written permission
  • Use the Service to generate misleading engineering reports with intent to deceive

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without notice or refund.

6. Intellectual Property

6.1 Our Property. The Service, including its software, algorithms, user interface, design, documentation, and all related intellectual property, is owned by Petrolyt and protected by applicable copyright, trademark, and other intellectual property laws. The mathematical models implemented are based on published petroleum engineering literature, but our specific implementation is proprietary.

6.2 Your Data. You retain full ownership of all data you upload to or generate through the Service, including production data, calculation results, forecasts, and exported files. We claim no ownership rights over your data.

6.3 License to Us. By uploading data to the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you. We will not use your data for any other purpose, sell it, or share it with third parties.

6.4 Feedback. If you provide suggestions, feature requests, or other feedback about the Service, you grant us the right to use such feedback without restriction or compensation.

7. Disclaimer of Warranties

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

7.1 Informational Purposes Only. THE SERVICE AND ALL CALCULATIONS, FORECASTS, ANALYSES, AND OUTPUTS PROVIDED THROUGH IT ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. They are not intended to constitute, and should not be relied upon as, professional engineering advice, geological assessment, financial recommendation, or investment guidance.

7.2 Not a Substitute for Professional Judgment. The Service is a computational tool that applies published mathematical models to user-provided data. IT IS NOT A SUBSTITUTE FOR THE PROFESSIONAL JUDGMENT OF A QUALIFIED PETROLEUM ENGINEER, GEOLOGIST, RESERVOIR ENGINEER, OR FINANCIAL ADVISOR. All outputs should be independently verified by qualified professionals before being used for any decision-making purpose.

7.3 No Warranty of Accuracy. While we strive to implement published petroleum engineering models accurately, WE MAKE NO WARRANTY OR REPRESENTATION THAT ANY CALCULATION, FORECAST, EUR ESTIMATE, OR ECONOMIC ANALYSIS PRODUCED BY THE SERVICE IS ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. Production forecasts are inherently uncertain, and actual results may differ materially from model predictions.

7.4 User Assumes All Risk. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU USE THE SERVICE AND RELY ON ITS OUTPUTS ENTIRELY AT YOUR OWN RISK. Any decisions made based on outputs from the Service — including but not limited to well acquisition decisions, capital investment decisions, reserve reporting, regulatory filings, or operational decisions — are your sole responsibility.

7.5 "As Is" Basis. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

7.6 No Guarantee of Availability. We do not guarantee that the Service will be available at all times, uninterrupted, error-free, or free of harmful components. We may perform maintenance, updates, or modifications that temporarily affect availability.

8. Limitation of Liability

8.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PETROLYT, ITS OWNER, OPERATORS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES EXCEEDING THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO PETROLYT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.2 Exclusion of Damages. IN NO EVENT SHALL WE BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Financial losses resulting from reliance on calculations, forecasts, or analyses produced by the Service
  • Costs of procurement of substitute services
  • Damages arising from well acquisition, divestiture, or operational decisions made using Service outputs
  • Damages arising from inaccurate reserve estimates or production forecasts

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Petrolyt, its owner, and any affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • Your use of the Service or reliance on its outputs
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any third-party claims arising from decisions made based on Service outputs
  • Your data or content uploaded to the Service
  • Any engineering, operational, financial, or regulatory decisions you make using outputs from the Service

10. Data Privacy

10.1 Privacy Policy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Data We Collect. We collect account information (email, username), usage data (calculations performed, features used), and payment information (processed by Stripe). We do not sell your personal information to third parties.

10.3 Data Security. We implement reasonable security measures to protect your data. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

10.4 Data Retention. Your calculation results and uploaded data are retained for as long as your account is active. Upon account deletion, your data will be permanently removed within 30 days.

11. Termination

11.1 By You. You may terminate your account at any time by contacting us or deleting your account through the Service. Termination does not entitle you to a refund of any prepaid subscription fees.

11.2 By Us. We may suspend or terminate your account and access to the Service at any time, with or without cause, including but not limited to:

  • Violation of these Terms or the Acceptable Use Policy
  • Non-payment of subscription fees
  • Extended inactivity (accounts inactive for more than 24 months)
  • Discontinuation of the Service

11.3 Effect of Termination. Upon termination, your right to access the Service ceases immediately. Sections 6 (Intellectual Property - your data ownership), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination.

11.4 Data Export. We recommend exporting your data before account termination. We will make reasonable efforts to provide data export capability, but are not obligated to maintain access to your data after termination.

12. Governing Law

12.1 Jurisdiction. These Terms are governed by and construed in accordance with the laws of the Province of Saskatchewan, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of the Province of Saskatchewan, Canada.

12.3 Waiver of Class Action. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Changes to Terms

13.1 Modifications. We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised "Last Updated" date, and where possible, by email notification to registered users.

13.2 Continued Use. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and terminate your account.

13.3 Notice Period. For material changes that affect your rights or obligations, we will provide at least 14 days' notice before the changes take effect.
